In the event of any conflict between these Terms and a separate written engagement agreement, the engagement agreement will prevail in relation to the relevant services.

To the fullest extent permitted by applicable law, you will indemnify, defend, and hold harmless Bruqe and/or parent entities and/or sister entities, and their respective affiliates, directors, officers, employees, agents, contractors, licensors, and service providers from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, penalties, costs, and expenses (including reasonable legal and professional fees) arising out of or in connection with:
- Your breach of these Terms.
- Your unlawful, fraudulent, negligent, or wilful use of the Website.
- Your infringement or alleged infringement of any intellectual-property, privacy, confidentiality, or other right of any person.

We may, at our option, assume the exclusive control and defence of any matter subject to indemnification by you. In that event, you will cooperate fully with our defence and may not settle any matter without our prior written consent.

Nothing in this section prevents Bruqe from seeking interim, protective, injunctive, or equitable relief in any court of competent jurisdiction, including to protect its confidential information, intellectual property, systems, data, personnel, reputation, or other legitimate interests.
General
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable. If such modification is not possible, the relevant provision will be deemed deleted. The validity and enforceability of the remaining provisions will not be affected.
Our failure or delay in exercising any right or remedy under these Terms will not operate as a waiver of that right or remedy.
You may not assign, transfer, delegate, or otherwise deal with any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or subcontract our rights or obligations under these Terms to the extent permitted by applicable law.
